Terms of service

Clause 1: Purpose and scope
These terms of service detail the rights and obligations of the company Agathe Caravano (hereinafter referred to as “Agathe Caravano”) and its customer in connection with the sale of the following services: translation, localisation, subtitling, transcription and post-editing.

Any service rendered by Agathe Caravano therefore implies the buyer's unreserved acceptance of these terms.

Clause 2: Rates
The rates for the services sold are those in force on the day the quote is signed. They are denominated in euros. Agathe Caravano reserves the right to modify her rates at any time. However, she undertakes to invoice the services ordered at the rates indicated on acceptance of the quote.

Clause 3: Rebates
The rates quoted include any rebates that Agathe Caravano may grant on the basis of her results or the buyer's assumption of responsibility for certain services.

Clause 4: Discounts

No discount will be granted on early payment of the invoice.

Clause 5: Payment terms
Payment for services shall be made by bank transfer within 30 days of the invoice date.

When signing the quote, a deposit of 30% of the total invoice amount may be requested. The balance must be paid on delivery of the service ordered, within a maximum of 30 days from the date of delivery.

Clause 6: Late payment
In the event of total or partial non-payment for services delivered, the purchaser must pay Agathe Caravano a late payment penalty equal to three times the legal interest rate.

The legal interest rate applied is that in force on the day of delivery of the services.

As of January 1, 2015, the legal interest rate will be revised every 6 months (Ordinance n°2014-947 of August 20, 2014).

This penalty is calculated on the amount, including tax, of the remaining sum, and runs from the due date of the price without the need for any prior formal notice.

In addition to the late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a fixed indemnity of 40 euros to cover collection costs.

Clause 7: Cancellation clause

If, within fifteen days of the implementation of the “Late payment” clause, the buyer has not paid the remaining sums due, the sale will be automatically cancelled and may entitle Agathe Caravano to claim damages.

Clause 8: Delivery
Delivery is made by means of one or more e-mails sent to the buyer.

Clause 9: Force majeure

Agathe Caravano may not be held liable if the non-performance or delay in performance of any of her obligations described in these terms of service is due to force majeure. Force majeure is defined as any external, unforeseeable and irresistible event within the meaning of article 1148 of the French Civil Code.
 

Clause 10: Relevant court
Any dispute relating to the interpretation and execution of these terms of service is subject to French law. Failing amicable resolution, the dispute will be referred to the Créteil Commercial Court.
